1. Applicability

 

These Terms of Service ("Terms") govern all quotations, orders, and transactions between Hubei Shenbai Automobile Group Co., Ltd. ("Shenbai", "we", "us") and the customer ("Buyer", "you") arising from this website. By submitting an inquiry, placing an order, or making a payment, you acknowledge that you have read, understood, and agreed to these Terms in full.

 

 

2. Product Information

 

• All specifications, images, and technical data on this website are for reference only. Actual product configuration shall be confirmed in the signed Proforma Invoice (PI) / Sales Contract.

• Shenbai reserves the right to make design improvements, component upgrades, or specification changes without prior notice, provided the core function and performance are not adversely affected.

• Photos may show optional accessories or non-standard configurations. Standard configuration prevails as stated in the PI.

 

 

3. Quotation & Order

 

• Quotation Validity: All quotations are valid for 15 calendar days unless otherwise specified in writing. Prices thereafter are subject to revision based on raw material and exchange rate fluctuations.

• Order Formation: An order is deemed formally established only when (a) the PI is signed by both parties AND (b) the agreed deposit has been received in our designated bank account.

• Order Amendment: Any changes to specifications, quantity, or delivery terms after order confirmation must be agreed in writing and may result in price adjustments and delivery delays.

 

 

4. Payment Terms

 

• Standard Terms: 30% deposit by T/T within 5 business days after PI signing; 70% balance by T/T or L/C at sight before shipment (or against copy of B/L, as agreed).

• Alternative Terms: Irrevocable L/C at sight, D/P, or other terms may be considered case by case.

• Bank Charges: Buyer bears all bank charges outside China.

• Currency: USD unless otherwise agreed. Exchange loss due to delayed payment is borne by Buyer.

 

 

5. Production & Delivery

 

• Lead Time: Standard models 30–45 days; customized/OEM units 45–60 days, calculated from the date of deposit receipt.

• Incoterms: FOB / CIF / CFR / DDP as per Incoterms 2020, as stated in the PI.

• Shipping Documents: B/L, commercial invoice, packing list, Certificate of Origin (CO), and quality certificate provided within 5 business days after shipment.

• Delay: Delivery delay caused by force majeure (see Clause 9) does not constitute breach.

 

 

6. Title & Risk Transfer

 

• Title: Ownership of goods transfers to Buyer upon Shenbai's receipt of 100% of the contract price.

• Risk: Risk of loss or damage passes to Buyer according to the agreed Incoterm (e.g., under FOB, risk passes when goods pass the ship's rail at the port of loading).

 

 

7. Warranty

 

• Warranty Period: 12 months from B/L date or 25,000 kilometers, whichever occurs first.

• Special Categories: For Aerial Work Platforms and Concrete Pump Trucks, warranty is 12 months from B/L date or 1,500 operating hours, whichever occurs first (odometer reading is not applicable to non-transport equipment).

• Warranty Scope: Covers manufacturing defects in main components. Excludes: (a) wear parts (filters, belts, hoses, tires, brake pads, hydraulic seals); (b) damage from misuse, overload, improper maintenance, unauthorized modification, or accidents; (c) natural disasters and force majeure events.

• Warranty Service: Free replacement parts provided ex-works China. Overseas shipping, customs clearance, and installation are borne by Buyer unless separately agreed.

• Claim Procedure: Written claim with photos/videos, chassis number, and diagnostic report must be submitted within 7 days of defect discovery and no later than warranty expiry.

 

 

8. Intellectual Property

 

• All trademarks (Howo Crane, Shenbai Heavy Industry, Banjun Changxing), product designs, drawings, and technical documents remain the exclusive property of Shenbai.

• Buyer may not disassemble, reverse-engineer, copy, or transfer to third parties any of Shenbai's proprietary designs.

• OEM cooperation is subject to a separate NDA/OEM agreement.

 

 

9. Force Majeure

 

Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to natural disasters, war, epidemic, government action, port strikes, shipping accidents, or power/fuel shortages. The affected party shall notify the other in writing within 10 days and provide supporting evidence.

 

 

10. Limitation of Liability

 

• Shenbai's total liability under any order shall not exceed the invoice value of the specific unit(s) in dispute.

• Shenbai is not liable for indirect, incidental, or consequential damages including loss of profit, loss of business opportunity, or downtime cost.

 

 

11. Governing Law & Dispute Resolution

 

• These Terms are governed by the laws of the People's Republic of China.

• Any dispute shall first be resolved through friendly consultation. Failing that, either party may submit the dispute to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Beijing, in English, under CIETAC rules. The arbitral award is final and binding on both parties.

 

 

12. Amendments

 

Shenbai reserves the right to modify these Terms at any time. Updated Terms take effect upon posting on this website. Continued use of the website constitutes acceptance of the revised Terms.
